1. Introduction & Acceptance of Terms

Welcome to NiyoGen Pte. Ltd. ("NiyoGen"), a company registered in Singapore. By accessing or using any of NiyoGen's services, applications, APIs, or related products, you agree to be bound by these Terms & Conditions. If you do not agree, you must discontinue use immediately.

2. Eligibility & Account Responsibilities

Users must be at least 18 years old and capable of entering into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

3. Description of Services

NiyoGen provides AI-driven automation, multi-agent orchestration, and related digital platforms designed for enterprise and individual users. These services may evolve over time, and NiyoGen reserves the right to introduce, modify, or discontinue features without prior notice.

4. Payment Terms & Subscriptions

Payments are processed securely via third-party payment providers, including Stripe. By completing a payment, you authorize NiyoGen and its partners to charge the selected payment method. All charges are billed in the displayed currency and include applicable taxes unless otherwise specified.

5. Refund Policy

All payments made to NiyoGen are non-refundable, except in cases of duplicate billing or failure to deliver the subscribed service due to a verified technical issue on NiyoGen's side. Any refund requests must be submitted in writing to api@niyogen.com within three (3) days of the original transaction. Refunds, if any, are issued solely at NiyoGen's discretion.

6. Termination and Suspension

NiyoGen reserves the right to suspend or terminate user accounts for any violation of these Terms, misuse of services, or unlawful activity. Termination does not entitle users to any refund or credit for unused time unless explicitly granted by NiyoGen.

7. Intellectual Property Rights

All software, logos, designs, trademarks, and content provided by NiyoGen remain the exclusive property of NiyoGen Pte. Ltd. Unauthorized use, reproduction, or distribution is strictly prohibited.

8. Prohibited Uses & Compliance

Users agree not to misuse the platform, attempt unauthorized access, interfere with service operations, or use NiyoGen's technology for unlawful, unethical, or harmful purposes.

9. Limitation of Liability

To the maximum extent permitted by law, NiyoGen, its affiliates, officers, and employees shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, business, data, financial assets, or any other kind of loss or damage arising from:

• Use or inability to use NiyoGen's services or products;
• Reliance on AI-generated or automated outputs;
• Any security breach, system outage, or data loss beyond NiyoGen's reasonable control.

Total liability, if any, shall not exceed the amount paid by the user in the preceding three (3) months or SGD 100, whichever is lower.

10. Indemnification

You agree to indemnify and hold harmless NiyoGen, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the services or violation of these Terms.

11. Disclaimer of Warranties

NiyoGen provides its services on an "as-is" and "as-available" basis without warranties of any kind, express or implied. NiyoGen does not guarantee uninterrupted or error-free operation, or the accuracy of AI-generated outputs.

12. Force Majeure

NiyoGen shall not be liable for any delay or failure to perform obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, labor disputes, power outages, cyberattacks, or governmental restrictions.

13. Modification of Terms

NiyoGen reserves the right to modify or update these Terms & Conditions at any time, effective upon posting on its website. Continued use of the Services constitutes acceptance of the updated Terms.

14. Data Protection & Privacy

Use of NiyoGen's services is also governed by our Privacy Policy, available at https://www.niyogen.com/privacy . By using the Service, you consent to the collection and use of your data in accordance with that Policy.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
